Cognex to Acquire RealSense for About $500M
aiinsider ·
Cognex has agreed to acquire RealSense for approximately $500 million, a move designed to expand its industrial machine-vision portfolio into the robotic perception sector. The transaction, which will be financed entirely through Cognex's existing cash and investments, is expected to close in the fourth quarter of 2026. RealSense, originally founded by Intel in 2014 and spun out as an independent entity in 2025, specializes in 3D depth-sensing technology used across various autonomous systems. Prior to the deal's completion, RealSense plans to spin off its Facial Authentication business into a separate company. Financial projections indicate that RealSense will generate between $80 million and $90 million in revenue for 2026, representing significant growth over the previous year. To support the integration, Cognex has established a $56.5 million three-year employee retention program and allocated about $50 million in restricted stock units. This acquisition aims to combine RealSense’s proprietary 3D perception platform with Cognex’s global reach to create a full-stack visual intelligence solution. An investor call was scheduled for September 22 at 8 a.m. ET to discuss the strategic implications of the merger.
